Centennial Equipment Co., Inc. Terms and Conditions

  1. Acceptance- All orders are subject to acceptance by Centennial Equipment Co., Inc. (hereafter referred to as CE) at its home office in Golden, Colorado.

  2. Terms- The terms in our quotation are subject to the approval of our Credit Department.

  3. F.O.B. Point- All shipments are F.O.B. Golden, Colorado, or as specified in our quotation.

  4. Delivery- Shipment and delivery dates are estimated only, and unless otherwise specified, are based on receipt of complete technical data and approval of final drawings. CE accepts no liability for any delay in shipping or delivery of merchandise due to causes beyond CE’s control. In no event will CE’s liability for delays include consequential damage.

  5. Cancellation- Orders received by CE are firm contracts, and the buyer may cancel only with CE’s written permission. A 15% cancellation charge will be made for credit card processing fee's, sales administration and order processing. In addition, the buyer will pay all applicable charges for shop labor, freight in and out and outside purchased material and labor.

  6. Return of goods- Goods may be returned only with CE’s written permission. A 20% restocking charge will be made for order processing, inventory adjustments, inspection and restocking time. In addition, the buyer will pay all applicable charges for shop labor, freight in and out and outside purchased material and labor.

  7. Claims- CE shall accept no liability for breakage, damage, hidden or otherwise, delay or shortage after goods are delivered to carrier. All claims must be made directly to the carrier immediately following receipt of goods.

  8. Taxes- In addition to the stated prices, the buyer will reimburse CE for sales tax, use tax, or any other tax which CE must, at any time, either pay or be required to collect by reason of the sale of goods and/or services to buyer.

  9. Payment- CE shall retain title to all equipment furnished under this quotation until full payment has been received. Should the purchaser default in making any payment when due, CE personnel shall be free to enter the premises where such equipment may be located and remove the same as CE’s property whatever may be the mode of its attachment to realty or other property without prejudice to any further claims on account of damage which CE, or CE personnel may suffer by reason of the purchaser’s refusal or failure to surrender the equipment when required to do so. CE may sell any equipment repossessed as aforesaid, and the purchaser shall remain liable to CE for any deficiency.

  10. Warranty- The equipment, prime movers, electrical apparatus auxiliary components, installation material and parts manufactured by others are warranted only to the extent of the warranty made by the manufacturer of such equipment and material.

  11. Disclaimer- CE shall not be liable for any loss or damage directly or indirectly arising from the use of such merchandise or for consequential damages. CE and all CE employees, further disclaims any responsibility whatsoever to the customer or to any other person for injury to person, or damage to or loss of property or value, caused by any product which has been subjected to misuse, neglect or accident; or misapplied; or modified or repaired by unauthorized persons; or improperly installed.

  12. Limitation Of Liability-In the event of any claim for breach of any of CE obligations,whether expressed or implied, and particularly in the event of any claim of a breech of the warranty or of any other warranties, expressed or implied, or claim of liability, which might despite paragraph 11 be decided against CE or any of it’s employees by any lawful authority, CE shall under no circumstances be liable for any consequential damages, losses or expenses arising in connection with the use of, or inability to use, CE’s product for any purpose whatsoever.

  13. Building Permits- Where appropriate, purchaser assumes responsibility for deciding what building permits will be required. CE will obtain required permits, but is shall be the purchasers obligation to determine their requirements and advise us of same prior to acceptance of purchaser’s order.

  14. Compliance with Local and State Codes- When specified by purchaser, CE will provide and install that equipment called for by purchaser. It shall be the responsibility of the purchaser to insure that said equipment does not constitute a breech of legal codes.
